Role Summary

 The Chief Innovation and Research Officer / Governance Officer (CIRO/GO) is a senior
executive responsible for the leadership of corporate innovation, research, and governance functions and reports to the CEO. The CIRO/GO oversees the research and development & objectives, ensures alignment of innovation with corporate strategy, supports investor relations, and provides governance guidance to the Board of Directors.

The CIRO/GO also serves as Parliamentarian to the Board of Directors and Committee Chair of Advisors to the Board.

Key Responsibilities
Chief Innovation and Research Officer (CIRO)
• Develop and execute the corporate innovation strategy.
• Identify and champion transformative technologies and partnerships.
• Direct pilot programs and incubator initiatives.
• Promote an organizational culture of innovation and continuous improvement.
• In conjunction with the & Lab Director, establish the company’s & objectives and
execution.
• Translate research outcomes into actionable strategies for commercialization.
• Support executive leadership in investor meetings, providing technical and strategic
insights.
• Represent the company in meetings, conferences and symposiums.
Governance Officer (GO)
• Serve as Parliamentarian to the Board of Directors, ensuring adherence to bylaws,
 procedures, and governance standards.

• Act as Committee Chair of Advisors to the Board, coordinating advisory input into
 corporate strategy.
• Develop and oversee the company’s government contracting pipeline.
• Represent the company in government forums, consortiums, and partnerships.

Required Qualifications
• PhD required in science, engineering, technology, or related field.
• Minimum of 20 years of senior leadership experience in innovation, &
  governance.
• Demonstrated success in translating research into commercial and government
opportunities.
• Proven ability to establish and manage & organizations.
• Expertise in intellectual property and patent oversight.
• Experience supporting and advising corporate boards.

Preferred Qualifications
• Experience in cyber security, cloud infrastructure, or emerging technology markets
• Background working with technical subject matter and translating it for non-technical
audiences
• Experience building marketing processes and documentation from the ground up

• Board meetings are well-prepared, organized and well-run.
• Board Chair/CEO has supporting documents, board consents, etc. for signing and filing.
