Job Title: Corporate Counsel (Mid-Level)

Position Summary
TDK SensEI is seeking a mid-level Corporate Counsel based in Singapore to act as the primary in-house lawyer for the Singapore HQ and the first-line legal reviewer for regional subsidiaries including USA, China and Japan.
This role will provide pragmatic legal support across commercial, corporate, and operational matters, with a strong focus on screening, drafting, reviewing, and negotiating NDAs, commercial contracts, and related documentation. The ideal candidate will be business-oriented, and capable of managing multiple priorities in a fast-paced environment. This is a solo in‑house role with no direct legal team; the lawyer must be a self‑starter who works independently and owns legal outcomes for the Singapore HQ.
Key Responsibilities
Commercial Contracts & Agreements
- Draft, review, and negotiate a wide range of commercial agreements, including NDAs, supplier agreements, customer contracts, service agreements, distribution agreements, licensing, SaaS, procurement and other transactional documents.
- Provide practical legal advice to internal stakeholders on contract interpretation and risk mitigation.
- Develop and maintain standard contract templates and playbooks.
- Manage and instruct external counsel and control legal spend.
Corporate & Regulatory Matters
- Support corporate governance matters for Singapore and regional entities.
- Ensure compliance with applicable Singapore laws and regulations.
- Assist with corporate filings and liaise with external counsel as needed.
Risk Management & Compliance
- Identify and assess legal risks associated with business initiatives.
- Advise on regulatory, compliance, and data protection matters (including PDPA, export controls/trade compliance where applicable).
- Support internal policy development and implementation.
Cross-Functional Support
- Partner with finance, HR, procurement, and operations teams to provide legal guidance on day-to-day matters.
- Support dispute resolution matters and manage external counsel when required.
- Assist with internal investigations and employment-related legal issues as needed.
Reporting & Working Relationships
- Dual Reporting line to group CFO and CEO and will operate with minimal day-to-day supervision.
- Coordinate closely with the parent company's (TDK) Regional Headquarter Legal teams in the US, APAC, China and Japan.
Other Duties
- Support regional or global legal projects as assigned.
- Provide training to internal teams on contractual and compliance topics.
- Perform other legal duties consistent with the role of in-house counsel.
Qualification:
- Qualified lawyer admitted to practice in Singapore is required or admitted in a Commonwealth jurisdiction with a commitment to obtain Singapore practicing rights within 6–12 months.
- 4–8 years of relevant experience, preferably with a mix of law firm and in-house experience with cross-border exposure.
- Strong experience drafting and negotiating commercial agreements, particularly NDAs and service contracts.
- Solid understanding of Singapore corporate and commercial law.
- Experience in technology, manufacturing, or multinational corporate environments preferred.
- Strong communication, negotiation, and stakeholder management skills.
- Ability to work independently and provide practical, business-focused legal advice.
- Must be proactive, able to make commercial trade-offs, and able to translate legal risk into clear business recommendations.
- Preferred: experience in dealing with employee incentive plans (ESOP)
