Adela is focused on the detection of cancer and other high-morbidity, high-mortality conditions through a blood test. The Company’s genome-wide methylation analysis technology has the unique ability to   the most highly informative (methylated) regions of the genome from the non-informative regions and preferentially target those informative regions for sequencing. The technology is initially being developed for use across the cancer continuum for detection, diagnosis and management and in the future will be applied to other conditions beyond cancer. 

Summary

 Reporting to the SVP, General Counsel & Secretary, Corporate Counsel will assist in accomplishing Adela’s mission. This position will serve as a legal advisor on a broad range of topics, including life sciences / biopharma contracting, risk mitigation, FDA, HIPAA, FCA compliance, GDPR and other data privacy compliance, product development, and customer management. Will work closely with business colleagues to support transactions and provide related legal guidance.

Responsibilities

  • Managing, structuring, drafting, reviewing, negotiating, and closing various contracts and corporate and commercial transactions.
  • Partner with colleagues to ensure agreements are consistent with stakeholder objectives, applicable legal requirements, and internal corporate policies.
  • Manage processes governing the intake, review, and approval of contracts and other legal requests.
  • Advise on business law issues, including contract interpretation and requirements. Providing legal and strategic support across the entire company.
  • Furnishing product, regulatory, commercial, and compliance support.
  • Assisting with other related transactional services as required to meet the strategic and operational objectives of the company.
  • Issue-spotting in regulatory areas such as HIPAA, fee-splitting, and Anti-Kickback statute in the context of contract review.
  • Analyze legal risks and opportunities to company in light of evolving and dynamic regulatory and competitive environments.
  • Provide pragmatic day-to-day and strategic advice to minimize legal risks while facilitating and advancing business goals and initiatives.
  • Instruct, manage and review all work product of external counsel in an efficient and cost-effective manner.
  • Carry out other duties, projects, or activities as specified by the General Counsel.


Knowledge

  • Juris Doctorate (JD) or LLM from an American Bar Association accredited law school and licensed to practice law in at least one state jurisdiction.
  • A minimum of 5 years of experience working as a commercial attorney either in the pharmaceutical, biotech industries, a law firm representing these industries or some combination thereof.
  • Experience with FDA regulatory compliance, GDPR and other data privacy laws. Proficient at drafting, reviewing and negotiating contracts.
  • Experience in contracting with payors, distributors, clinical trial and CRO agreements, promotional review, government pricing and price reporting.
  • Adept at interfacing effectively with personnel across all levels and functions of the company and with external parties.
  • Ability to function and thrive in a fast paced and entrepreneurial environment.
  • Outstanding communication and presentation skills.
