Position Summary:

ACELYRIN, INC. is looking for a Manager, Equity and Payroll to help maintain Shareworks, maintain and administer our equity plan to include all equity grants, grant releases, and option exercising.  This position will own all quarterly and year-end reporting, managing relationships, and reconciliations.  The Manager, Equity and Payroll will also be responsible for processing payroll through third party vendors as well as help with the implementation of a new payroll system.

 Responsibilities:

 ·       Manage all aspects of equity program including Stock Options, Restricted Stock Awards (RSAs) and ESPP

·       Partner with HR, Legal, and Accounting/Finance teams to ensure accurate dataflow, support for audits and reporting needs

·       Manage the relationships with equity service vendor, transfer agent, and broker service providers

·       Ensure the proper taxation is applied to all equity transactions

·       Understand and have a thorough working knowledge and experience in application of stock-based compensation (ASC 718)        accounting rules

·       Be key contact for all employee related stock compensation inquiries

·       Data entry and manage daily, monthly, and annual processes for grants, stock option exercises, RSU releases, terminations, and leaves including all necessary reporting requirements to brokers, and transfer agents

·       Prepare all reconciliations of option grants, exercises, and cancellations, and manage the share cap table

·       Maintain SOX compliance and assist with quarterly testing/audits by internal and external teams

·       Process semi-monthly payroll through two different systems working closely with HR and Finance team to ensure accuracy

·       Responsible for related payroll, SBC, and other related reconciliations, journal entries, and schedules

 

Qualifications and Skills Required:

  • BA/BS preferably with an emphasis in finance or accounting
  • At least five (5) years of equity administration in a public company required.
  • Experience with U.S. federal and state taxation relating to equity compensation and payroll.
  • A thorough understanding of different types of equity awards
  • At least two (2) years of payroll experience including payroll reconciliations, maintaining schedules, etc., in a public company required.
  • Certified Equity Professional (CEP) or working towards the designation preferred.
  • Certified Public Accountant (CPA) a plus.
