Hillspire, LLC is an integrated family office serving the investments, activities and foundations of Eric and Wendy
Schmidt and family. The Schmidt entities employ over 400 employees, ranging from foundation staff, program
managers, investment professionals, finance and accounting staff, property managers, pilots, sailors, scientists, and a
diverse range of other individuals. Hillspire is the corporate manager and provider of centralized shared services for
these entities and employees.
Job Description
The Investments Associate and Paralegal will report to the Senior Corporate Paralegal and work collaboratively
alongside and partner with the finance, accounting, and IT teams. As the Investments Paralegal, you will:
● Prepare, maintain, and track subscription agreements and financing documents for investments.
● Prepare, monitor, and track anti-money laundering (“AML”), Know Your Client (“KYC”), FATCA
regulation certifications, documentation, and back-up materials.
● Prepare investment incumbency certificates and investment profiles.
● Coordinate with fund administrators to manage and oversee compliance requests, investment
submissions, and related materials.
● Prepare a “Knowledge Database” to achieve consistent responsiveness to securities law questionnaires.
● Administer, organize, oversee other investment-related documents, agreements, certificates, and
materials.
● Review and update legacy contact and authorized signatory information in investment documents.
● Strategically update fund managers and administrators with the appropriate information as needed to
streamline future investment transfers and redemptions.
● Organize and retain investment documents and related back-up materials in the applicable systems.
● Assist in the identification and processing of year-end investment write-offs by collecting and
organizing back-up financial and other relevant materials and assisting in the preparation and
processing of appropriate disposition documentation.
● Prepare for investment systems implementation and data migration, including:
○ Gather and organize legacy data, investment documents, and backup materials for the data
upload/migration process.
○ Consolidate, organize, and pull key attributes and metadata from investment documents and
materials.
● Participate as a leader in the systems assessment phase to select the best platform for VIP and venture
investments.
● Partner with IT and Finance to implement data migration once the system is selected.
● Oversee on-going management, monitoring, and maintenance of the system post-migration as a “super
user” of the system.
● Assist the Senior Corporate Paralegal to draft and adopt new templates, prepare a Knowledge
Database, establish system permissions, and maintain current templates.
● Such other duties as assigned.
Key Qualifications and Skills
8+ years experience in a venture capital fund, private equity fund and/or a law firm consisting of (i) 3-4 years
as a paralegal working directly with investments, (ii) 5+ years experience managing private equity and venture
capital investment documents throughout their lifecycle, ideally using an investment management platform;
(iii) 2+ years working as a power user with an investment systems implementation team on an investment
management platform; and (iv) the following skills:
