About the Opportunity


Higg is seeking an experienced counsel to help in both customer and company matters. 


Higg is seeking an experienced legal professional to serve as Associate General Counsel advising on a variety of legal matters. The Associate General Counsel is a critical role for our growing organization that will interface with both external and internal stakeholders on topics ranging from contracts, negotiations, regulations and other issues impacting our business. The Associate General Counsel will work closely with finance and operations and external counsel to minimize risk while maximizing business opportunities. Additionally, you will partner with the organization’s executive leaders to help them achieve their goals and objectives from partnerships to trademarks to data usage to customer contracts. 


The successful candidate will be highly organized with a solution oriented mindset and prior experience in a start-up or working with a firm servicing SaaS companies. The ideal candidate should be a proactive self-starter who has a proven ability to work in ambiguous situations and create a path forward. This person will thrive working in a fast paced, constantly evolving environment. The person joining us must be comfortable with a remote work environment.


As the first internal legal role in the company, this individual will shape the future legal team and external resources as the company grows. 


This role is US-based remote and reports into the Chief Operating Officer. 


Key Responsibilities

  • Develop plans for managing legal matters, including activities to be performed in house or through outside counsel, to efficiently and effectively manage the company’s legal activities and budget

  • Manage and direct general corporate matters, including corporate organization, securities compliance, general transaction support, employment law, regulatory matters, compliance, and financial matters

  • Draft, review, and negotiate a wide variety of agreements including commercial transactions, MSAs, NDAs, financing, license, market research, and other commercial matters with domestic and international parties including clients, partners, and vendors

  • Advise on the legal structure of key business initiatives in a manner that helps to achieve business objectives protecting legal, regulatory, and tax directives and considerations

  • Advise on legal aspects of the company’s financing activities and corporate structure considerations, including assessing and advising on current and future business structures and legal entities

  • Proactively address evolving regulatory and governance compliance environment, including changes in laws, regulations, regulatory focus areas and industry best practices

  • Develop and deliver materials and training to various internal groups, including engineering, product management, sales, and customer success on legal topics such as privacy, data usage, terms of use, etc.

  • Work with business executives and other departments’ stakeholders on a broad range of complex legal, business, and strategic issues as they arise

Qualifications:

  • Expertise in commercial  matters around enterprise SaaS with a side of negotiation and dispute experience 

  • Have a deep understanding of transactional practices in enterprise SaaS, particularly in software security, compliance, and privacy 

  • Proficient at negotiating and drafting various intellectual property agreements including in-bound and out-bound technology licenses, development agreements, online services agreements, and terms of use for online services

  • Experience with a wide range of in-house legal matters including intellectual property, international, employment, litigation, and corporate matters

  • Relevant candidates will have at least five years experience working with an in-house legal team at a fast growing technology company or a firm servicing Saas start-ups

  • Be actively licensed to practice law in at least one U.S. state, preferably California or New York

  • Creative, flexible, proactive, and experienced commercial attorney with business-oriented outlook and enjoy working with people at all levels in the organization

  • Highly collaborative, fast, learning, and able to independently organize and manage projects with multiple stakeholders and groups in a fast paced environment

  • Ability to work autonomously and independently

  • Effective communication skills, both written and verbal

  • Talent for thinking outside of the box in confronting new issues and pursuing novel approaches to old problems
