The Role:

 

The Associate General Counsel, Corporate Affairs will provide direct support to General Counsel, lead certain substantive legal areas of corporate and securities law for the Company, and provide legal support to the corporate functions. This attorney will be expected to have expertise in SEC and disclosure matters, equity and equity plan matters, business development transactions and other strategic transactions involving IP, corporate governance and general corporate law.   The attorney will need to be a proven leader who is able to work independently and effectively with senior business leaders.  The attorney will liaise as needed with other support and business functions to resolve issues. The attorney will be expected to be able to supervise junior legal personnel as the function grows.

 

 

Here Is What You Will Be Doing:

 

·        Provide advice and guidance for the accomplishment of the overall business objectives of the business in compliance with applicable laws and regulations and avoidance of unacceptable risks

·        Develop a thorough understanding of and familiarity with the business and its people, products, technology, markets, facilities, customers, and competitors to identify trends and formulate business and legal structures and strategies accordingly.

·        Provide legal support for the preparation and timely filing of SEC filings including 10Q, 10K, Proxy, 8Ks, Section 16 reporting.

·        Provide support to General Counsel and other members of senior management on disclosure matters.

·        Support the General Counsel on corporate secretarial matters including corporate governance andBoard administrative matters.

·        Provide legal support to Alliance Management for corporate strategic partners.

·        Provide legal support to Business and Corporate Development, including the drafting and negotiation of strategic transactions involving complex IP.

·        Manage all areas of stock and equity administration including employee stock system, insider trading, trading windows and specialized plans.

·        Provide legal support related to corporate and company communications.

·        Support legal support to Corporate functions including HR, IT, Finance, and Facilities, including for compliance matters.

 

 

 

Here Is What You Will Bring To The Table:

 

·        Minimum of 10 years of broad corporate legal experience with focus on SEC and other corporate matters.

·        Experience working with emerging growth companies with a large law firm and/or in-house emerging growth company experience

·        Biotech/pharmaceutical experience preferred.

·        A business person’s lawyer with solid judgment and strong analytical thinking, particularly in determining the significance of legal matters and when to elevate them to the General Counsel and in effectively measuring and minimizing risks.

·        Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization.
