Job Summary

Prolacta Bioscience is a privately held, venture-backed life sciences company that provides specialty formulations of human milk to hospitals for the nutritional needs of premature and critically ill infants.  Prolacta is a world leader in the study of human milk and premature infant nutrition in order to make a difference in the lives of the most fragile premature babies. We are seeking a Corporate Paralegal/Contracts Administrator to support the company’s Legal department, which currently consists of two full-time attorneys. The Corporate Paralegal/Contracts Administrator will report to the General Counsel or his designee and will be a key member of the company’s legal team, with significant responsibility interacting with all company business units and outside counsel, both domestically and internationally. The position will initially be able to work remotely in accordance with the company’s current Covid-19 protocols, provided that periodic on-site work at  the company’s headquarters in Duarte, California may be required.

 

Primary Duties and Responsibilities

  • Assist in all aspects of the company’s legal function as a key point of contact for other business units and provide general administrative support to the company’s in-house legal counsel.
  • Manage all corporate records, including Board of Directors and shareholder minutes, corporate subsidiary, director and officer information, governance policies and compliance processes, including federal and state “Blue Sky” securities compliance.
  • Draft or modify organizational documents for corporate entities, with close attention to calendaring required governmental/regulatory filings and fees.
  • Independently maintain, update and monitor the company’s database of contracts with vendors, customers and clinical partners and report on contract metrics and deadlines for necessary updates, amendments and terminations in response to business needs.
  • Work cooperatively with legal counsel to develop contract templates and maintain a library of standard contract templates for use across the organization, including NDAs, hospital sales agreements, vendor and consulting contracts, and clinical R&D agreements.  The successful candidate would also be expected to prepare first drafts of form documents for attorney review.
  • Work closely with the company’s Finance team to maintain investor and employee stock records, with principal responsibility for maintaining legal documentation for stock transfers, equity awards, stock option exercises, stock issuances and related federal and state securities filings.
  • Support various ongoing or special legal projects or perform legal research as directed, particularly as they relate to litigation and the company’s international activities.
  • Assist counsel in implementing company-wide compliance, regulatory and legal practices.
  • Assist with filings, amendments, and other paperwork needed by regulatory bodies, both domestically and internationally.
  • Act as point of contact for department tracking of contracts, updates, regulatory filings and more.


Job Requirements and Qualifications

  • Bachelor’s Degree from an accredited college or university and paralegal certificate preferred
  • Minimum 3-5 years in a corporate or law firm environment performing similar duties.
  • Significant experience establishing and maintaining corporate entities and other recordkeeping, including state corporate filings, board and shareholder actions and meeting minutes
  • Experience with maintaining stock records and employee equity plans, although this position will not have direct responsibility for these functions.
  • Experience with federal and California securities rules and filings
  • Experience using contract management software (such as Contract Logix, Cobblestone or Salesforce) preferred, including identifying and inputting essential contract terms, generating reports and monitoring various contract metrics
  • Experience with pharmaceutical, life science or another heavily regulated industry preferred.
  • Qualified applicants should have exceptional organizational and computer/word processing skills, with demonstrated experience creating and editing MS Word documents, MS Excel or other spreadsheet tools and preparing or editing presentations using MS Powerpoint.

Ability to multitask multiple projects in response to changing priorities, take direction yet work independently and take initiative, self-motivated, flexible and positive.
