Prolacta is the pioneer in human milk-based nutritional products for premature infants in the neonatal intensive care unit (NICU). Prolacta believes that there is no adequate replacement for human breast milk and, as such, we believe infant nutritional products should be human milk-based. As a privately held, scientifically driven company, committed to improving premature infant nutrition, we are using human milk to change the standard of care in the NICU.

Job Summary

This full-time position, located in our Duarte, California headquarters, will have principal responsibility for the day-to-day administration of our stock incentive plans, as well as monitoring and reporting changes in our capital structure and investor ownership, and will help support all areas of equity administration and reporting. You will work closely with all facets of our organization and with our investors as we expand within the US and internationally. The successful candidate will also have a lead role in transitioning our historical investor records from an Excel-based platform to a database that can interface with our employee equity incentive plan records (currently maintained on Shareworks).

Primary Duties and Responsibilities

1. General day-to-day administration of the company’s equity compensation plans, including processing, documenting and reporting grants, exercises and transfers of stock options, restricted stock, RSUs, SARs and other equity awards among current and former employees and other equity holders.

2. Maintain and verify all employee and shareholder data in the Company’s equity ownership database (currently Shareworks), and transition all historical investor shareholding records from Excel to a more dynamic platform.

3. Execute the project to move all Preferred Stock history from Excel Spreadsheet to Shareworks online platform.

4. Develop a comprehensive understanding of the Company’s Common Stock and Preferred Stock holdings and help execute stock transactions by employees, investors and other equity holders, as necessary (such as share repurchases, family transfers, third party sales, etc.).

5. Work closely with Prolacta’s legal group; ensure that all equity transactions are administered in accordance with internal Company policies, the terms of its stock incentive plans as well as all applicable state, federal and international laws and regulations.

6. Day-to-day maintenance of the Company’s capitalization table, investor holdings, equity rollforward and stock ledgers. Generate recurring reports; Run Monthly, Quarterly and Annual Reports to record stock compensation expense.

7. Monitor and calculate performance-based equity award criteria.

8. Understand and input Black Scholes assumptions for equity grants; memorialize assumptions made within Memorandum.

9. Understand and communicate tax rules and the impact associated with various stock and option transactions (including ISO disqualification).

10. Record and monitor federal and state securities compliance of various stock transactions (e.g. Reg. D, Rule 701, CA 25102(o)) and communicate results to General Counsel.

11. Prepare and distribute annual IRS Form 3921 or 1099s for stock option exercises.

12. Provide excellent customer service in responding to employee inquiries regarding Shareworks account information/navigation, stock option grants and exercises, restricted stock vesting, and frequently asked questions.

13. Prepare and distribute responses for annual investor equity holding and valuations confirmations as well as ad hoc requests.

14. Maintain desk procedures/department calendar, and ensure all information remains current and consistent.

15. Maintain audit trail of procedures performed in order to comply with SOX; Ensure SOX compliance of Stock/Equity process.

16. Familiarity with applying US GAAP rules from ASC 718 Compensation - Stock Compensation and ASC 505 Equity.

Qualifications

1. Bachelor's degree or higher.

2. At least 2 years of experience in stock plan administration, in either a company, accounting or legal setting.

3. Experience with Solium Shareworks platform preferred.

4. Experience in both private and public companies preferred; experience with transitioning from a private to public company would be ideal.
